What exactly are you buying?
A São Paulo hotel acquisition is not necessarily a purchase of its building. The offer may cover registered real estate, shares in the company that owns or operates the hotel, or an operating business housed in leased premises. Start by identifying seller, legal owner, operator, trademark user and leaseholder; they may be different parties. List the assets and liabilities that will actually transfer. An attractive reception and occupied rooms do not establish ownership, transferable operating rights or profitability.
A direct real-estate purchase usually requires a review of the registered title and a separate plan for continuing operations. A share purchase may leave property and operating contracts in the same entity, but also exposes the buyer to that entity’s history. An operating-business transfer without the freehold depends heavily on the premises lease, permits, employees and assigned contracts. A hotel-condominium or pooled-room structure requires unit-by-unit and pool-document analysis; do not assume it is one freely owned hotel.
For an overseas buyer, fix the acquiring person or entity before signing: Brazil’s tax authority requires a non-resident individual owning property subject to public registration to hold a CPF, and lists foreign legal entities holding Brazilian real estate among those required to register for a CNPJ. Confirm the applicable registration, signatory authority, source-of-funds checks and banking route with Brazilian advisers; a tax registration does not itself grant operating approvals.
Build a shortlist around the operating model
Define whether you want a business, airport, event, extended-stay or mixed-demand hotel. Compare location at the block level, transport, noise, safety, visibility, loading access, parking, competition, room configuration and meeting or food-service capacity. São Paulo is not a single uniform hotel market: access to specific demand generators matters more than a citywide average. Inspect the property at different times, and assess accessibility and back-of-house circulation, not only guest-facing finishes.
Request a property schedule showing lawful room count, room mix, areas, condition, equipment ownership, leasehold interests and planned works. Compare only genuinely similar hotels on the same operating basis. A lower asking price can conceal deferred fire-safety upgrades, obsolete plant or a short lease; a branded hotel can carry management fees or renovation obligations that outlast closing. Do not treat marketing listings as evidence of completed transaction prices or current vacancies.
Use the following screening distinctions before comparing advertised prices. These are buyer-side tests, not verified claims about available São Paulo hotels.
Scroll sideways to read the table ↔
| Target model | Evidence to request | Investigate or reject when |
|---|---|---|
| Business and meetings | Weekday occupancy by segment, negotiated corporate accounts, meeting-space profit and weekend demand | Projected revenue depends on undocumented corporate contracts or loss-making meeting facilities |
| Airport or transit | Actual door-to-terminal journey at relevant hours, flight-related bookings, shuttle costs and late-night staffing | The “airport” label is unsupported by realistic transfer times or operating costs |
| Extended stay | Lengths of stay, monthly pricing, room layout and amenities, cleaning frequency and guest churn | Room design or contract assumptions cannot support the claimed long-stay economics |
| Events and mixed leisure | Event calendar and realized room demand, food-and-beverage margin, noise and permitted occupancy | Returns depend on unlicensed events, seasonal peaks or unverified ancillary margins |
Underwrite cash flow, not the sales brochure
Obtain at least three full financial years where available plus current monthly trading: occupancy, average daily rate (ADR), revenue per available room (RevPAR), room and ancillary revenue, departmental costs, payroll, utilities, booking commissions, management fees and taxes. Reconcile the property-management system with bank receipts, tax filings and audited or independently reviewed accounts. Separate one-off events from sustainable demand; document owner expenses and transactions with related parties.
Model a base case and a downside case using independently checked assumptions for room supply, seasonality, staffing, inflation and distribution costs. Deduct recurring maintenance, furniture/fixtures/equipment replacement reserves and imminent capital expenditure before drawing conclusions on distributable cash. Hotel EBITDA, gross operating profit and cash available to equity are different measures. This guide gives no price, yield or financing-rate forecast: those depend on the specific hotel’s verified accounts and on genuinely comparable transactions.
Compare transaction routes and hidden exposure
Direct property asset: review title and property costs; an operating company, personnel and licenses do not automatically transfer. Company shares: verify the company’s assets, liabilities, litigation, taxes, financing, contracts and corporate approvals; registered property may remain with the entity. Lease or operating-business transfer: test landlord consent, remaining term, assignment provisions, business assets and permits; owning the business is not owning the land. The structure changes taxes, approvals, creditor exposure and transition design, so Brazilian advisers should price both the purchase and the later operation before an offer becomes binding.
Obtain a written schedule of inclusions and exclusions: furniture, kitchen equipment, vehicles, software access, intellectual-property rights, booking channels, deposits, prepaid stays, accounts payable and receivable, and cash. Specify whether historical guest liabilities, supplier debts and security deposits remain with the seller, are settled at completion or reduce the price. Contractual allocations do not necessarily defeat statutory claims by third parties.
Prove title and lawful use separately
For real property, obtain a current matrícula and registry certificates from the competent Registro de Imóveis; match land description, owner, mortgages, attachments, restrictions and the actual physical boundaries. Under Civil Code article 1,245, an inter vivos transfer of ownership occurs by registration of the transfer instrument, not merely by agreement or payment. Article 108 generally requires a public deed for real-property rights above the statutory threshold, unless a legal exception applies. Counsel must confirm the instrument and registry route in this transaction.
Check cadastral and municipal tax information, building approval and completion records, restrictions on alteration and any protected-heritage status. Consult GeoSampa and the municipal rules for the exact parcel and its intended hotel use; zoning data are a screening tool, not confirmation of every building or operating authorization. Neither an existing hotel sign nor an issued matrícula proves compliant fire systems or permission for expansion.
Verify permits for the actual operator and activities
Ask for current municipal operating and building documentation, any relevant health and food-service approvals, evidence of fire compliance and the state fire certificate (AVCB, where applicable). Verify validity, capacity, pending inspections and whether ownership or operating-entity changes require amendments or fresh filings. The applicable requirements depend on use, size, configuration and activities; a restaurant, event venue, pool and hotel rooms can create different checks.
Brazil’s Ministry of Tourism identifies Cadastur registration as compulsory for accommodation establishments. Verify the registration details against the operator and consult the current General Tourism Law, including its distinct rules for certain condominium-hotel arrangements. A Cadastur certificate is not a substitute for municipal use approval, fire requirements, property title or permission to use a brand. Budget time and money for corrective works only after technical specialists establish what is required.
If the offered asset is a condominium-hotel or rental pool rather than one hotel building, examine each unit’s ownership and binding participation documents. Article 24(II)(b) of Law 11.771/2008, as amended, refers to a formal rental pool with owners of at least 60% of accommodation units joining the hotel operation in the specified registration route. This does not prove that any particular unit or pool is compliant or freely transferable.
Carry forward the right contracts—and assess employees
Review brand, franchise, management, distribution, reservation-platform, utilities, security, laundry, supplier and service agreements. Identify termination fees, exclusivity, performance tests, change-of-control approvals, capital-improvement commitments, data-transfer constraints and commitments to future bookings. Decide how guest deposits, vouchers, refunds and group-event obligations will be discharged. Request a payroll schedule, collective-agreement exposure, accrued benefits, litigation and contractor classification records.
Brazilian CLT articles 448 and 448-A address continuity and successor responsibility when an employer or enterprise succeeds another; buying assets does not by itself eliminate employment risk. If the hotel premises are leased, examine the written consent rules for lease assignment under Law 8.245/1991 article 13. The tenant’s purchase preference under articles 27–34 is conditional and has exceptions; where it applies, article 28 generally gives 30 days to accept a properly notified proposal. Counsel must test the precise lease and deal, not assume an automatic right or exemption.
Check first whether Law 8.245/1991 governs the particular lease. Its article 1, sole paragraph, item (a)(4), excludes premises in apart-hotels, hotel-residences and equivalent duly authorized establishments from the law’s general urban-lease regime. Accordingly, neither its article 13 assignment rule nor its articles 27–34 pre-emption procedure should be assumed to apply to every hotel-related occupancy arrangement; local counsel must classify the actual contract.
Calculate the full acquisition exposure
The cash requirement is more than the headline price. Build a line-item schedule for property-transfer or share-deal taxes as applicable, registry and notarial fees, adviser fees, financing charges, bank and foreign-exchange costs, property-tax arrears, closing adjustments, deposits, working capital, staff liabilities, refurbishment and contingency. Obtain a written tax analysis for the chosen structure; do not apply a generic tax percentage to every hotel deal. Price in Brazilian reais and record any currency-conversion date and bank spread in a cross-border funding scenario.
Illustration only: a hypothetical R$20 million purchase plus R$4 million of verified closing, working-capital and immediate-work requirements means R$24 million deployed, not R$20 million. If a hypothetical stabilized annual cash flow before debt service and investor taxes is R$2.4 million, dividing it by R$24 million gives 10% as a simplified pre-debt, pre-investor-tax indicator—not an advertised yield, valuation or forecast. Test interest, reserve replacement, capital works and a weak-demand year separately.
For an ordinary taxable direct transfer of São Paulo-city real estate, the municipality’s 13 January 2026 ITBI guidance describes a standard 3% rate for transactions outside specified preferential cases. The taxable event, valuation base, relief or exemption and payment process need deal-specific confirmation; do not apply 3% mechanically to a share transfer or treat the seller’s asking price as the confirmed tax base. Obtain a written municipal ITBI estimate before pricing the offer.
A workable sequence before committing funds
First, request a seller-authorized data room and fix the exact legal perimeter, including the landowner and hotel operator. Second, commission legal, engineering, fire, labor, tax, accounting and commercial reviews; match reported occupancy to records and verify open permits, titles and encumbrances. Third, price remediation and commercial risk, negotiate conditions precedent, representation and warranties, escrow or retention where appropriate, and clear permissions or lender consents.
Fourth, agree a signed completion checklist: instrument, corporate approvals if relevant, property registration, payments, tax receipts, handover, keys, systems, guest-deposit reconciliation and staff notifications. Fifth, plan the first 90 days of operation, working capital, insurance, systems and supplier continuity. Digital document exchange or remote due diligence does not prove remote notarisation, signature, registration or settlement is legally or practically available; verify every stage locally before promising a fully remote closing.
Conditions for a binding hotel offer
Move to a conditional offer only when the legal perimeter (land, company, operator and brand) is documented, trading figures reconcile with bank and tax records, Cadastur, municipal and fire authorisations remain usable by the new operator, management and lease contracts survive the change of control, and the downside case still carries the financing. A costed, curable defect, such as an AVCB renewal, deferred plant replacement or a labour claim with a known ceiling, belongs in price, retention or warranties. An unreconcilable matrícula, an unlawful core use, a landlord or brand that will not consent, or open-ended labour and tax exposure are reasons to walk away.
This is a São Paulo acquisition-screening framework, not a report on an identified property, legal opinion, offer of hotel stock or investment recommendation. An independent local legal team and technical, accounting and tax advisers must verify the address, transaction documents and rules in effect at signing and completion. The source links below explain specific Brazilian legal and administrative checks; they do not validate any seller’s figures.
