Define the apartment you can actually use

An apartment purchase in São Paulo is a two-part acquisition: an individually recorded unit and a continuing relationship with the building's common areas, finances and rules. Attractive finishes cannot cure an unclear matrícula, a failing façade reserve or a letting model forbidden by the condominium. Before paying a non-refundable deposit, make a shortlist in which each candidate passes four tests: verifiable ownership, usable layout and access, sustainable monthly and extraordinary charges, and permitted occupancy. This guide concerns urban apartments in the municipality of São Paulo, not rural land, commercial premises or a claimed live inventory.

Start with use rather than a neighbourhood slogan. For a primary home record the actual journey to work, noise at both rush hour and night, daylight, ventilation, floor, lift reliability, accessibility and whether a bedroom really works for occupants. For a long-term rental test tenant profile, permitted use, net operating cost and likely maintenance, not just projected gross rent. A seller's floor plan and photographed amenities are leads to inspect, not evidence of title, legal area or service rights.

Make a comparison sheet using the same definitions for private area (área privativa), total area, useful internal area and the advertised price per square metre. São Paulo advertisements sometimes present different area measures; divide comparable asking prices by the same defensible denominator. Request the unit's registered description and plan, a recent charge statement, energy and water arrangements, parking allocation, storage rights and the age and condition of mechanical systems. Measure usable space during inspection and reconcile inconsistencies before valuation.

Shortlist two or three alternatives that fit a real upper spending limit including closing charges and a reserve for immediate repairs. Reject an apartment before deeper legal costs if access, structural condition, daylight or the actual permitted use cannot satisfy the purpose. Treat missing title documents or refusal to release condominium accounts as a reason to suspend negotiations. Differences in district, service level and maintenance backlog may matter more than a single headline R$/m² figure.

For São Paulo locations, test the actual street rather than relying on a district average: compare travel at the intended hours, access and possible drainage or flood exposure. The municipal GeoSampa mapping portal can identify matters to investigate, but its layers do not replace an on-site engineering inspection or official property-specific confirmation. Two apartments in the same district may carry different practical site risks.

Compare building types, not just asking prices

Building modelDecision test
Established low-rise or boutique condominiumoften fewer shared facilities but potentially higher per-unit cost for roofs, lifts or security. Check technical condition, allocation of extraordinary expenses, service coverage and whether monthly charges remain viable with a small owner base. Reject if essential deferred repairs are unbudgeted or information is withheld.
Full-amenity towerpool, leisure spaces, staff and multiple lifts may improve daily use but create recurring payroll, energy, equipment renewal and insurance exposure. Compare what is included in the condomínio fee, reserve adequacy, lift/plant replacement plans and actual availability of facilities. Do not pay a premium for amenities you cannot access or use.
Recently delivered or off-plan unitnew surfaces and modern systems can be appealing, but delivery conditions, final areas, warranties, future budgets and registration status must be checked. Verify developer and land records, specifications, permits, completion and how the unit will obtain its individual matrícula. Do not treat a sales brochure or projected maintenance charge as a proven completed asset.

For an off-plan purchase, have counsel examine the registered memorial de incorporação before a binding commitment: article 32 of Federal Law 4.591/1964 restricts sales of interests in future units before that registration. For a newly completed building, request the municipal Certificado de Conclusão (formerly habite-se) or applicable regularity documents and verify the status of the individual matrícula; municipal building documentation alone does not prove registered unit ownership. Put the final area, specifications, inspection rights, delayed-delivery consequences and remedies expressly into the contract.

Establish a defensible price comparison

The FipeZAP residential-sale index tracks samples of apartment listing prices from property portals, not executed deeds. It can frame asking-price trends; its municipality-wide figures are not a valuation for a particular luxury condominium or proof of an attainable resale price. Seek recent independently verified comparable offers, record listing dates and reductions, and where accessible obtain completed-sale evidence or an independent appraisal. Adjust systematically for area definition, age, condition, floor, view, parking, charges and rights to amenities.

For example, Apartment A may have a lower price per advertised square metre yet a high fee and a pending façade assessment; Apartment B may have a higher headline price but usable space, documented parking and a funded maintenance programme. Compare purchase price plus expected acquisition tax and fees, twelve months of ordinary holding cost and identified special assessments. The numbers in this comparison are decision variables, not a quoted São Paulo market yield or a current listing.

Confirm what is transferred

Obtain a recent full matrícula (property register entry) from the competent Registro de Imóveis and compare its unit number, owner, area, fractional share and recorded liens or restrictions with the seller's documents. Under article 1.245 of Brazil's Civil Code, ownership is transferred between living persons by registration of the conveyance in the property registry; a private contract or payment alone does not complete that transfer. Independent Brazilian counsel and the competent notarial/registry offices should confirm the document form and signing route for this particular transaction.

Under articles 1.331–1.332, an autonomous unit is distinct from inseparable interests in common property. Check whether a garage space has its own registration, is an accessory or a use allocation, and whether a storage room or special amenity has an enforceable individual right. The Civil Code limits disposal or rental of vehicle shelters to non-members unless the condominium convention expressly permits it. Do not infer exclusive title from a broker's photographs, keys or informal parking labels.

Cross-check the registered area against municipal IPTU cadastral data, approved plans where available, actual configuration and the building's establishment documents; any enlargement or altered layout merits a qualified survey and planning/regularity review. Request searches for mortgages, attachments, pending litigation and seller authority appropriate to the seller's identity and marital or corporate circumstances. An unrecorded promise to resolve defects after closing is not a substitute for a verifiable cure before release of funds.

Investigate the condominium balance sheet

Ask the síndico or administrator for the convention (convenção), internal regulations, minutes of recent owners' meetings, approved budget, recent accounts, reserve position, contracts and insurance evidence. Check annual fee increases, arrears, current litigation and planned lifts, façade, roof, waterproofing, fire-safety or plant works. Request engineering records and meeting votes where capital expenditure is discussed. A glossy lobby is not evidence that major works are financed.

A buyer's exposure to condominium debt is not only contractual. Article 1.345 of the Civil Code makes the acquirer responsible for the seller's condominium arrears, including fines and default interest. Request a dated condominium debt statement directly from management, reconcile it close to closing, and negotiate lawful settlement, deductions or retention before transfer. Separately obtain São Paulo's municipal certificate covering IPTU-related property tax debts; an IPTU certificate does not show condominium arrears.

Inspect the convention and actual meeting practice for the allocation of ordinary versus extraordinary contributions, voting requirements and restrictions on renovation. Compare condominium statements on a like-for-like basis: some fees bundle water, gas, security, reserve contributions or services, while others charge them separately. Ask what happens if reserves are insufficient and record approved assessments with their due dates. Inspect common-area conditions, not only the seller's unit, with a suitable technical professional.

Check occupation and letting permissions

Ownership does not mean every proposed use is permitted. Read the recorded destination, convention, building rules and any applicable municipal constraints before assuming the unit may operate as an office, accommodate frequent guests, be substantially altered or generate short-stay income. Ordinary residential tenancy and professionalised platform stays are not interchangeable legal arrangements. Get written legal analysis of the actual intended model rather than a seller's assurance that ‘everyone does it’.

On 7 May 2026 the STJ held that recurrent, professionally or commercially exploited short stays of the type examined in a residential condominium were inconsistent with residential use without a change of destination approved by at least two-thirds of condominium owners. In a notice published on 17 September 2026, the STJ described the already-selected repetitive Tema 1.443: whether a residential-use clause alone bars short-term platform rentals or an express ban is required. Affected proceedings are suspended nationwide. This is not blanket permission for Airbnb-style letting: verify the latest court position, the building's documents and the actual rental model before projecting income.

Calculate acquisition and holding cash

Budget ITBI, notarial instrument or qualifying financing-document charges, Registro de Imóveis fees, legal review, inspections, translation and remittance expenses where applicable, plus broker commission according to the actual contract. São Paulo's municipality publishes a standard ITBI rate of 3%; its 2026 guidance specifies narrower 0.5% financing treatment for qualifying lower-value SFH/PAR/HIS/consortium acquisitions, not automatically for luxury properties. Confirm the taxable event, actual base, exemptions and current assessment for the unit; do not assume every purchase receives the reduced rate.

A material tax qualification matters: São Paulo's administrative page refers to the higher of declared transaction value and its reference value. However, the STJ's binding Tema 1.113 decision states that the declared arm's-length transaction value is presumed to reflect market value and a municipality cannot impose a unilateral advance reference value without the appropriate assessment procedure. If the tax demand differs from the genuine agreed consideration, obtain case-specific Brazilian tax advice before payment or challenge rather than treating either website statement as a guaranteed invoice.

A purely illustrative cash purchase of R$3,000,000 at 3% of an accepted R$3,000,000 ITBI base gives R$90,000 of ITBI alone; registration, notary, advisors and other costs are additional, and a different legally applicable base changes the result. For ongoing ownership, add annual IPTU, twelve condominium payments, separately billed utilities, insurance and a contingency for special assessments and unit upkeep. For an international buyer, record the bank's exchange-rate fixing date, spread, transfer and intermediary-bank charges, tax documentation and proof of funds; currency movements can change the cost between offer and settlement.

Structure identity, funding and closing

A foreign non-resident individual should arrange a Brazilian CPF before the acquisition and confirm identity and signatory documentation; the federal service directs foreign applicants living abroad to an in-person Brazilian consular route. A CPF is registration, not a residence permit, credit approval or verification of the source of funds. Availability and terms of mortgage finance, remittance procedures and any buyer-specific compliance must be confirmed with the chosen regulated bank and local professionals before a financing condition expires.

Use distinct transaction gates. First obtain documents, technical access and written preliminary terms without a non-refundable financial commitment. Second commission independent title, tax, seller-authority, condominium and physical checks; issue a reasoned written list of defects. Third negotiate the purchase instrument, timetable, tax/fee allocation and conditional releases, including who cures liens and arrears. Finally complete the legally suitable deed or financing instrument, registration, verified settlement and possession handover. Viewing by video, electronic exchange, signing, registration and payment are separate processes; do not promise a fully remote closing without checking each with the competent offices and banks.

The written offer or compromisso de compra e venda should clearly identify the unit and garage rights, price and payment currency, financing or document-review conditions, deposit treatment and default remedies, vacancy and possession, outstanding charges, tax allocation and completion milestones. Have counsel examine enforceability before any reservation payment. Use traceable escrow or controlled settlement mechanisms only where lawfully available and documented. Recheck current matrícula, management balance and IPTU position immediately before disbursement or filing.

Turn findings into a go, renegotiate or stop decision

Proceed to contract review when the unit, accessories, seller capacity, finance, intended use and repair exposure can all be verified, with conditions assigning each unresolved item a deadline and remedy. Renegotiate where a documented defect has a measurable cure, a charge can be funded or a genuine valuation difference justifies a different price. Stop when ownership cannot be established, essential use is prohibited, material arrears cannot be secured or the seller refuses access to decisive records. These are purchaser risk controls, not a promise of a particular property or outcome.

Before release of any irrevocable payment, request one consolidated deal pack: fresh matrícula and title chain, seller identity/authority checks, apartment and parking plans, convention and rules, condominium debt statement, accounts/meeting minutes and upcoming works, municipal IPTU certificate, inspection notes, itemised transaction cost sheet, and a signed document allocating deposit and closing risks. Ask a Brazilian real-estate lawyer and technical surveyor to mark each item clear, conditional or unresolved. This guide was checked against the evidence on 21 October 2026; it is not a substitute for reviewing the individual property and up-to-date law.
