Buying a hotel in Portugal

A hotel purchase is only attractive if the buyer can identify the rights being acquired, run the premises lawfully and fund the operating and building obligations after closing. This framework screens a Portuguese opportunity before commitment; it does not advertise available hotels or promise returns.

Set the buyer’s shortlist

Write buyer criteria before considering an asking price: municipality, access and seasonality, target market, minimum compliant room count, guest facilities, ownership or lease preference, refurbishment tolerance, budget and reserve. Lisbon, Porto, the Algarve, Madeira and interior destinations are not substitutes by default; local trading records and municipal rules are decisive. A building advertised as a “hotel” can be an operating property, a future conversion or only a branded business opportunity. Verify which one is offered, rather than treating listing language as evidence.

Screen candidates against four non-negotiables: lawful hotel use, a transfer path for the rights actually being sold, credible historical income, and a fundable works plan. Reject a property outside the required catchment or room capacity even if its advertised yield looks strong. If any item is unknown, mark it “subject to proof”; no verified live listings, asking-price averages or yield benchmarks are asserted here. Build a shortlist from documented assets, not promotional projections.

Use the same decision scorecard for every shortlisted hotel: proven lawful room count, price per lawful room (an internal comparison, not a market benchmark), normalized operating profit after realistic operator costs, required near-term works per room, low-season cash deficit and any unresolved consent. A city business hotel may rely on weekday corporate trade; a resort may depend on transport access and shoulder-season bookings; an interior property may have a narrower feeder market. Test each hypothesis against monthly results and comparable local hotels, not stereotypes. Reject an asset whose room count, seasonality or capital requirement fails the buyer's limits.

Decide what is actually for sale

The purchase perimeter must be written in the term sheet: (a) title to land and building, (b) shares in the owning or operating company, (c) identifiable assets or a going-concern business, or (d) a lease or operating right. These may be combined, but buying a hotel building does not itself purchase its brand, guest database, staff contracts or operator company. Conversely, buying shares does not change the registered owner of a building held by that company; it may leave historic company liabilities within the target.

For each structure reconcile seller identity, titleholder, employer, registered RNET operator, booking-revenue recipient and bank accounts. Request separate price allocation for property, furniture/equipment, goodwill, assumed working capital and agreed liabilities. A lease-only offer requires rent-indexation, permitted use, renewal, security, landlord consents and handback-cost checks. Do not presume that a management or franchise contract follows a sale without consent or may be terminated cheaply.

Verify property and permitted use

Obtain a current certidão permanente predial for every parcel/unit, compare seller, ownership, mortgages, seizures, easements and pending registrations, and obtain the caderneta predial, plans and cadastral/property references. The Portuguese registry extract includes pending filing requests; it is not a structural inspection or proof of tourist use. Check mismatches between actual construction, registered area and physical site. Any release of charges must be documented as a closing condition, not a post-closing promise.

At the competent Câmara Municipal, verify lawful use for the proposed hotel type, relevant construction and change-of-use records, capacity, restrictions and any outstanding enforcement/regularisation proceedings. Tourism use communication varies with building works and circumstances; a legacy operating history alone cannot cure an unauthorized extension or establish permission for more rooms. Ask whether heritage, coastal, fire safety, accessibility, water, sewage and food-operation constraints affect planned works. A technical survey should cost the backlog, not merely describe appearance.

Check the hotel registration and operating continuity

Find the actual establishment in RNET by registration number or name and compare registered classification, capacity, location and operating entity with the seller’s statements. The official RNET guidance gives a 30-day period for initial entry after a valid opening title and 10 days to notify changes to registered details, including operator identity. These are specific administrative duties, not a guarantee that a change of owner automatically transfers every commercial right. Confirm the closing notification plan and responsible person.

Inspect the tourism classification decision, any inspection findings and upgrade notices: classification is normally reviewed on a five-year cycle and can be reconsidered sooner. Obtain documentation for operating approvals affecting the actual facilities—restaurant, swimming pool, terraces or events, where applicable. Identify required remedial works and the income disruption they cause. If a site cannot lawfully operate at the room count on which the price relies, re-underwrite or stop.

Check the legal category before treating accommodation advertised as a hotel as a classified hotel: tourist establishments appear in RNET, whereas local accommodation (alojamento local, AL) is registered separately in RNAL. An AL registration is not proof of hotel classification or permission to convert. There is also an official deadline discrepancy: Turismo de Portugal describes initial RNET registration within 30 days of the valid opening title; a gov.pt service page updated 7 July 2026 says 30 working days. Article 40 of the tourism regime separately provides 10 days to communicate specified changes. Confirm the governing initial deadline directly before scheduling a new opening; do not infer that every hotel sale restarts this period.

Rebuild earnings instead of accepting a sales deck

Ask for at least 36 months of monthly occupancy, available/sold room nights, average daily rate (ADR), room revenue, food-and-beverage revenue, channel commissions, VAT treatment, payroll, utilities, repairs, property taxes, rent and management/franchise fees. Reconcile management accounts to bank settlements, VAT returns, audited statements if available and booking-platform records. Normalize owner expenses, exceptional shutdowns, unusual pandemic/renovation periods and deferred maintenance transparently; a single EBITDA multiple without this bridge is not a valuation.

Illustration only: 40 saleable rooms × 365 days × 50% occupancy × €100 ADR gives €730,000 gross annual room revenue. At 45% occupancy and €90 ADR it becomes €591,300, a €138,700 drop before commissions, VAT, wages, utilities or debt service. Neither case is a Portugal market average or an investment return. Build base, downside and works-closure cases, then test debt coverage and cash required to survive seasonality. Food, spa and conference revenue should be evidenced separately, not silently added to room revenue.

Read the brand, management and people contracts

If there is an operator, franchise or brand licence, obtain the full signed agreement and amendments. Test change-of-control and assignment consents, term, renewal, termination charges, territorial exclusivity, performance tests, mandatory renovation/property-improvement plans, fee basis, reservation systems, online reputation and customer-data rights. Distinguish the owner’s rent or profit from the manager’s sales reports. A “turnkey” purchase is not turnkey if the buyer must fund an unpriced brand-mandated refurbishment or lose the name.

The Portuguese Labour Code’s article 285 can transfer the employer position and employee rights where an undertaking or economic unit is transferred; contract labels alone do not decide the issue. Map personnel, seniority, accrued leave, pensions/benefits, unpaid wages, collective terms, contractor dependencies and the statutory information/consultation process with Portuguese labour counsel. An asset purchase should not assume a clean break from staffing liabilities; a share deal also requires company-level payroll and social-security diligence.

Price the complete capital and transition burden

Order independent building, mechanical/electrical, fire-safety, environmental and accessibility assessments where material. Cost roofs, lifts, HVAC, kitchens, room upgrades, energy efficiency, IT/PMS, brand specifications, permits and closure periods. Separate immediate safety compliance from elective refurbishment and long-term reserve. Model capex plus VAT/irrecoverable taxes where relevant, fees, insurance, deposits, opening working capital and contingency alongside the headline price. A bank’s lending indication is not proof that planned capital work is financed.

Reconcile guest prepayments, group bookings, vouchers, OTA chargebacks, supplier deposits, gift cards, litigation, tax arrears, security interests, warranties, data-protection duties and staff transfers. Specify who bears pre-closing stays and post-closing refunds, how inventory and cash are measured at handover, and what retention/escrow or indemnity supports recovery. Require a room-by-room inventory, transferable systems access and a transition services plan. A vendor’s assertion that all liabilities remain “behind” is not a substitute for contract and legal analysis.

For capital funded outside the euro area, budget the actual euros needed at settlement using a stated exchange-rate reference date and allow for bank transfer, conversion and hedging costs. Model interest, principal repayment, lender covenants and reserve cash against the downside earnings case; a purchase price and an indicative loan are not a complete cash-to-close budget.

Calculate Portuguese transfer taxes by deal type

For an ordinary purchase of other urban property, article 17 of Portugal’s IMT Code states 6.5%; article 12 generally takes the higher of transaction price and valor patrimonial tributário (VPT) as the taxable base. The stamp-duty table specifies 0.8% for acquisition of property rights. Hypothetically, if a hotel qualifies under that urban category and the taxable amount is €2 million, IMT is €130,000 and stamp duty €16,000, before registration, advisers, finance, works and any other taxes. This is not a universal hotel transaction quotation: classification, exemptions and special cases must be checked.

Buying shares is not a blanket tax-free shortcut. Article 2(2)(d) of the IMT Code addresses qualifying company-interest transfers with cumulative requirements, including Portuguese real-estate assets over 50% of the balance-sheet or relevant tax value, property-use criteria and a shareholder reaching at least 75% of the share capital, or a reduction to two shareholders who are married or in a legally recognised de facto union. Property directly allocated to a genuine commercial activity can matter to the test. The target’s actual hotel use, ownership and holding structure require tax review. Also check VAT treatment of asset/going-concern transfers, corporate taxes, annual IMI and financing costs; no single rate applies to every structure.

Article 17(4) also provides a special 10% IMT rate, generally without exemption or reduction but subject to the express exception in article 17(4)(a), where the acquirer has tax domicile in a jurisdiction on Portugal's listed preferential-tax regime or is directly or indirectly controlled by an entity domiciled there. Confirm the entire buyer ownership/control chain before assuming the illustrative 6.5% rate.

From offer to a decision

Before a non-refundable deposit or binding contrato-promessa, instruct independent Portuguese real-estate, tax, hotel-operations and technical advisers. Issue a document list; agree exclusivity and access subject to confidentiality; have the seller confirm authority and disclosures. Make completion conditional on clean title and discharge of charges, satisfactory use/RNET evidence, required third-party consents, verified earnings, agreed employee treatment, financing and capex thresholds. Allocate tax and fee liability expressly. A signed promise, property deed, share transfer and commercial operating handover are distinct steps.

At completion, verify identification/NIF, corporate authority, source-of-funds and AML checks, required transfer-tax payments, notarised/authenticated form and registration appropriate to the chosen structure. Portuguese Casa Pronta can handle qualifying property sale/registration matters, but it does not itself clear company liabilities or promise a fully remote hotel acquisition. Use documented payment safeguards and simultaneous discharge/registration where available; obtain access, keys, insurance, system credentials and operating notices. Proceed only if the evidence and downside funding case pass; renegotiate if a curable gap is costed and secured; withdraw if use, title, liabilities or consent cannot be reliably resolved.

A hotel acquisition does not by itself confer residence rights. Portugal's Law 56/2023 removed new real-estate investment acquisitions as a route to investment residence (ARI); any immigration route requires a separate eligibility assessment, including transitional cases where relevant.
